The object of this research is the supply contract, by virtue of which one person, the supplier or provider, undertakes to deliver to another, the supplied, in exchange for a price, a plurality of movable things in succession, at the times and in the quantities fixed in the contract or to be determined by the supplied according to his needs. It is a legal business that is entered into relatively frequently, and is the contract of duration par excellence, so that it is not unusual to find a supply relationship at the basis of other more complex commercial operations.
The interest of the chosen topic is justified by the relevant role played by the supply contract in contemporary commercial transactions. The object of this research is the supply contract, by virtue of which one person, the supplier or provider, undertakes to deliver to another, the supplied, in exchange for a price, a plurality of movable things in succession, at the times and in the quantities fixed in the contract or to be determined by the supplied according to his needs. It is a legal business that is entered into relatively frequently, and is the contract of duration par excellence, so that it is not unusual to find a supply relationship at the basis of other more complex commercial operations.
The interest of the chosen topic is justified by the relevant role played by the supply contract in contemporary commercial transactions. In spite of being a classic contract, which has been the object of study by the doctrine, it was necessary a study that monographically updated a business of great transcendence in the current economy. The supply contract stands as a tool for the decentralization of company activities, delegated or entrusted to third parties, whose activity is integrated into the organization. Despite the time that has elapsed since its introduction into the market, and despite some legislative attempts, the supply contract, like many other businesses, continues to be orphaned of legal regulation, with the discipline of the purchase and sale being applicable in those matters that do not contravene its lasting nature.
Furthermore, the doctrine's treatment of this contract is exceptional. There is hardly any monograph that deals with the particularities of the supply, being remarkable the work carried out by FERNÁNDEZ DEL MORAL, published thirty years ago. The purpose of this research has been to bring a business that, although it is not unknown neither for the company, nor for the doctrine, nor for the jurisprudence, nor for the legal operators, it raises certain problems that cannot be solved with a mere reference to the discipline of the sale and purchase. For this reason, we have chosen to deal with the supply contract following an orderly exposition of its different elements while dealing with the particularities that arise in each case, taking the opportunity to point out the differences with that paradigmatic contract to which, even today, it is subordinated. In this work, aspects of different nature and consequences are taken into account, such as its eminent commercial nature; its eminent commercial nature; its link with commercial distribution; its affinity with the purchase and sale, of course; the atypical nature of the business; or the incidence of the duration in the formation and configuration of the contractual program.El objeto de esta investigación es el contrato de suministro, en virtud del cual una persona, el suministrador o proveedor, se obliga a entregar a otra, el suministrado, a cambio de un precio, una pluralidad de cosas muebles de forma sucesiva, en las épocas y cantidades fijadas en el contrato o que serán determinadas por el suministrado en función de sus necesidades. Es un negocio jurídico que se celebra con relativa frecuencia, y se constituye como el contrato de duración por antonomasia, con lo que no es extraño encontrar una relación de suministro en la base de otras operaciones comerciales de mayor complejidad.
El interés del tema escogido se justifica por el papel relevante que despliega el contrato de suministro en el tráfico mercantil contemporáneo. Pese a ser un contrato clásico, que ha sido objeto de estudio por la doctrina, era necesario un estudio que monográficamente actualizase un negocio de gran trascendencia en la economía actual. El contrato de suministro se erige como una herramienta para la descentralización de actividades de la empresa, delegadas o encomendadas a terceras entidades, cuya actividad se integra en la organización. A pesar del tiempo transcurrido desde su implantación en el tráfico, y, a pesar, también, de algún intento legislativo, el contrato de suministro, como muchos otros negocios, siguen huérfanos de reglamentación jurídica, siendo de aplicación la disciplina de la compraventa en aquello que no contravenga su naturaleza duradera.
A mayor abundamiento, el tratamiento que la doctrina ha hecho de este contrato resulta excepcional. Apenas existe alguna monografía que aborde las particularidades del suministro, siendo destacable el trabajo realizado por FERNÁNDEZ DEL MORAL, publicado hace ya treinta años. El propósito de esta investigación ha sido traer un negocio que, si bien no resulta desconocido ni para la empresa, ni para la doctrina, ni para la jurisprudencia, ni para los operadores jurídicos, plantea ciertos problemas que no pueden ser resueltos con una mera remisión a la disciplina de la compraventa. Para ello, se ha optado por abordar el contrato de suministro siguiendo una exposición ordenada de sus distintos elementos al tiempo que se tratan las particularidades que se presentan en cada caso, aprovechando para señalar las diferencias con aquel contrato paradigmático al que, aún hoy, se le subordina. En este trabajo se tienen presentes aspectos de distinta naturaleza y consecuencias, tales como su eminente carácter mercantil; su vinculación con la distribución comercial; su afinidad con la compraventa, por supuesto; la atipicidad del negocio; o la incidencia de la duración en la formación y configuración del programa contractual.
